What decides the documents you need?
Confirm five decisions first: the licensing authority, the exact business activities, the legal form, the owners and the intended premises. Add the proposed manager and identify anyone signing on behalf of somebody else. A new company, a subsidiary and a branch are different applications; use the company-structure guide if the route is still undecided.
Treat this page as a preparation tool. Request the current applicant-specific checklist from the selected authority, including accepted file formats, validity periods, translation rules and the stage when originals must be presented. A document requested by one free zone is not automatically compulsory for every UAE company.
Who can sign the registration documents?
Identify the person signing each document and the capacity in which they sign. An owner, a director, a manager and a representative can have different roles. Collect the evidence of authority requested for that role rather than assuming that the person managing the application can sign everything.
Before signature, compare the signatory’s name with their identification and the authorising record. Check that a resolution or power of attorney covers the intended action. Use the receiving authority’s approved procedure; a convenient electronic signature is not automatically an accepted signature for every document.
Overseas documents: decide the route before paying
Do not send every foreign-issued document for the same treatment. First establish whether the receiving authority needs an original, certified copy, attestation or translation. The answer can differ between an identity copy, a parent-company record and a document granting signing authority.
MoFA guidance describes prior authentication and the UAE mission stage for foreign-issued records. It also sets language and document-condition requirements. Confirm the sequence for the issuing country and document type with the receiving authority and relevant UAE mission; check what remains to be done in the UAE.
Identify the recipient
Name the authority or institution receiving the document and the application it supports.
Confirm the exact record
Ask which version, issuing body, issue date and original or copy format are acceptable.
Is authentication requested?
If no, keep the accepted copy in the file. If yes, confirm the issuing-country steps, UAE mission and any UAE completion stage.
Is translation requested?
Confirm the accepted language, translation certification and whether the translation must follow authentication of the original.
Approve the route and cost
List each step, document, payee and dispatch requirement before authorising the work.
Track the complete set
Keep the original, certifications, translation and delivery reference together. Check the returned file against the request.
Trade name, premises and activity approvals
Keep the trade-name decision, premises evidence and external approvals as separate workstreams. A reserved name or initial approval does not mean every permission needed to operate has been issued. The Ministry’s setup guidance distinguishes initial approval from permission to carry out the activity.
Ask what the selected premises must support before signing a commitment. For example, SEDD’s licence-issuance service lists a lease or title evidence where applicable, legal-form contracts and relevant official approvals. That is a Sharjah example, not a universal tenancy checklist. For a Dubai application, review the trade-licence premises questions with the chosen activity and location.
Worked example: two owners, two preparation paths
This hypothetical example illustrates file organisation; it is not a client case study, an authority checklist or a promise of approval. A proposed company has one individual shareholder and one overseas corporate shareholder. The corporate owner will authorise a director to sign. The activity and premises are still awaiting confirmation.
| Workstream | Example status | Next action |
|---|---|---|
| Individual owner | Identity copy available | Check the selected authority’s validity and address-evidence rules. |
| Corporate owner | Registration certificate available; ownership chain incomplete | Obtain the missing ownership record and confirm the required declaration. |
| Corporate signatory | Named director; resolution still in draft | Confirm the accepted resolution and signing powers before execution. |
| Foreign records | Authentication route unconfirmed | Confirm recipient, issuing country, translation and attestation requirements. |
| Business activity | Description agreed; official activity unconfirmed | Match the actual service to the authority’s permitted activity. |
| Premises | No commitment made | Confirm the activity’s premises requirement before paying a deposit. |
Use a document tracker and a final consistency check
Create one row for each requested item. Useful fields are applicant or company, document name, issuer, date, required format, authentication or translation action, responsible person and status. Separate “available” from “accepted for this application”. Use “not applicable” only after confirming why it is not needed.
Before submission, reconcile the people, ownership, activity, names and signatories across all forms. Save the submitted version and official reference. When a query arrives, record the precise gap and replace the affected file rather than repeatedly sending an unchanged pack.
| Check | A useful acceptance test |
|---|---|
| Identity | Names and identification details agree across the file. |
| Ownership | Share allocations reconcile and the requested ownership chain is evidenced. |
| Authority | Every signature has a defined role and supporting authority. |
| Completeness | Pages, attachments, certifications and translations are legible and connected. |
| Currentness | The document meets the recipient’s expiry and issue-date rules. |
| Version | The team and applicant are using the same final application details. |
What should the company-registration handover contain?
Check the issued company name, activities and other details against the approved application. Raise discrepancies before using the records for contracts, banking or further registrations. Record what has been issued, what is still pending and who must complete the next action.
Organise the handover into issued records, payment evidence, official account access, premises and activity approvals, outstanding actions and renewal dates. Confirm who holds original documents. Give the owners usable copies rather than relying on a single email attachment or another person’s account access.
What still needs attention after the licence is issued?
Treat business-bank onboarding, relevant visa and employment work, and corporate tax registration as distinct follow-on tasks. Their evidence and decisions may differ from the company-registration application.
Prepare transaction records from the first business payment and agree a bookkeeping handover. Carry the confirmed obligations and outstanding tasks into the first-year and renewal budget. This makes the handover useful for running the company as well as proving it exists.
Company-registration document questions
Is there one mandatory UAE company-registration document list?
No. The licensing authority, legal form, activities, ownership and applicant circumstances determine the file. Start with separate individual and corporate worksheets, then confirm the current applicant-specific checklist and the format accepted by the receiving authority.
What extra records does a corporate shareholder need?
The file commonly needs evidence of registration, governing documents, ownership and the person authorised to approve and sign the investment. The selected authority may request further company or beneficial-owner records. Confirm which versions require certification, translation or attestation.
Must every foreign document be translated or attested?
Do not assume so. The receiving authority decides the evidence it accepts, and the document type and issuing country affect preparation. Confirm the exact record, language and authentication route before commissioning work or dispatching originals.
Can an application coordinator sign for the shareholders?
Coordination alone does not establish signing authority. Identify who must sign each document and what resolution, power of attorney or other accepted authorisation supports that person’s capacity.
Does initial approval allow the business to operate?
Initial approval is one stage of the setup process. The Ministry’s guidance states that it does not grant permission to run the business or practise the activity. Confirm the issued licence and the additional permissions required for the intended operation.
What should I send first to get a tailored checklist?
Start with a short description of the business, intended authority or location, legal form if known, whether owners are people or companies, proposed manager and premises needs. These decisions establish which document route to check before collecting a full file.
