Quick answers before you start

How do I choose an ADGM registration route?

Start with the business's activities, assets and governance needs. Distinguish an operating company from a specialist vehicle, then assess the company form, premises and any financial-regulatory process relevant to the proposed work.

What should an ADGM financial applicant resolve first?

Identify the financial activities requiring assessment under the FSRA process. Commercial registration and regulated permission are separate, so establish the appropriate authorisation pathway before treating incorporation as a complete launch route.

Choose the ADGM entity for its intended purpose

ADGM receives applications for financial, non-financial and retail business. The Registration Authority handles company registration, while firms providing regulated financial services need the relevant Financial Services Regulatory Authority approval. Identifying that distinction at the beginning prevents a commercial-licence proposal being mistaken for permission to conduct financial services. Source: ADGM: setting-up FAQs.

Legal form and purpose matter as much as location. An operating private company, branch, special purpose vehicle and foundation serve different needs. A holding vehicle should not be selected as a shortcut for an ordinary staffed business. Compare the actual assets, services, people and governance before committing to a structure. Where Dubai is also under consideration, review DIFC’s commercial and regulatory routes before comparing incorporation charges.

ADGM activities, entity purpose and governance

Identify the registration and regulatory route before choosing an operating company or specialist vehicle.

01

Identify the correct approval route

Explain what the company will do, who its clients will be and whether it handles investments, financial products or other regulated functions. ADGM’s setup FAQ directs financial applicants to the FSRA before Registration Authority registration; non-financial and retail applicants follow their applicable commercial route.

02

Operating business or specialist vehicle

An operating company needs arrangements suitable for its daily activity. An SPV is a separate structuring option with its own conditions. Non-exempt SPVs and foundations require an ADGM-licensed Company Service Provider under the relevant framework, so include that role when assessing cost and administration. For a separate asset-governance option in Ras Al Khaimah, the RAK ICC foundation guide explains the different decisions to assess.

03

Ownership, officers and records

Confirm the people who own, direct and sign for the entity. Record how a corporate parent authorises the new company or branch, and who maintains its records. The chosen form determines the application details and later notifications when company information changes.

Prepare with a clear checklist

Documents for ADGM company formation

Prepare the file for the chosen legal form. Personal records, corporate-owner evidence and activity-specific approvals serve different purposes.

2 preparation items

Individual participants

Prepare identification and residential details for the required shareholders, directors and authorised signatories. Follow the document format specified by the relevant application guide.
Record participant roles, shares and beneficial-control information consistently. A resolution or other accepted appointment evidence may be needed to establish authority.
3 preparation items

Corporate owner or branch

Prepare the corporate owner’s or parent’s incorporation and constitutional records and supporting status information. Confirm which records and certification apply to the chosen route.
Use the relevant incorporation or branch resolution to approve the entity and identify the authorised people. The powers should cover the application and intended appointments.
Provide a coherent ownership chart and supporting records where an intermediate company is involved. Explain ultimate ownership and control rather than stopping at the immediate parent.
2 preparation items

Business and specialist requirements

Prepare the proposed activities, business description and address arrangements. Financial applicants need the regulator’s separate business, governance and control documentation.
For an SPV or foundation, confirm eligibility, purpose and the applicable Company Service Provider arrangement. Use the specialist checklist rather than a general operating-company file.

Use the selected legal-form checklist. Regulated businesses and specialist vehicles can have additional requirements.

Have a question about one of these records?

The work, step by step

Your ADGM setup process

Plan the application and operating launch around the following stages.

  1. 01

    Define purpose and activity

Clarify whether the entity will operate a business, provide regulated services or hold assets. Identify customers, ownership and the countries involved.

  2. 02

Confirm the legal and regulatory route

Compare the appropriate company or branch form. Where financial authorisation is relevant, establish the FSRA process before treating registration as a standalone task.

  3. 03

    Arrange the address and governance

Select the applicable premises or service-provider arrangement. Agree directors, signatories and responsibility for the entity’s records and reporting.

  4. 04

    Prepare the application records

Complete the legal-form checklist, including identity, corporate resolutions, beneficial ownership and constitutional information. Resolve inconsistencies before submission.

  5. 05

    Complete the required approvals

Follow the relevant authority review and signing stages, then pay the applicable charges. Check the registration and permissions against the approved scope.

  6. 06

    Organise ongoing administration

Set up banking and finance records, employment where relevant and the notification calendar. Ensure the company or appointed provider can access its official records.

Plan your budget

Fees and operating commitments

Build the proposal around the entity purpose, registration route, premises and specialist approvals. Distinguish initial and recurring charges, professional coordination and any conditional third-party work.

Cost components and what each covers
Cost componentWhat to account for
Registration and commercial licenceConfirm the initial and recurring charges for the legal form and activity. Specialist structures have different fee schedules from operating companies.
Financial authorisationIf regulated work is proposed, separate FSRA application and ongoing costs from incorporation. Include the resources needed to satisfy authorisation conditions.
Premises or service providerBudget for the appropriate office and address arrangements, or the required Company Service Provider for a non-exempt specialist vehicle.
Corporate preparationCurrent parent records, resolutions, translations and professional drafting can add costs where ownership or governance is complex. Confirm the accepted document treatment first.
Continuing reporting and supportPlan annual administration, accounting, applicable audit, data protection and regulatory obligations. A holding purpose does not mean that the entity can be left unmanaged.

Know what happens when

Preparation, approvals and handover

The timeline follows the entity’s purpose. Assess the operating, specialist-vehicle or regulated route before scheduling documents, premises and registration.

Before submission

Structure assessment

A choice between an operating company, regulated business and specialist vehicle changes the required approvals and evidence.

Document and premises stage

Preparation

Obtain corporate authority and the necessary address or provider arrangement before completing the application file.

Registration or regulatory review

Authority decision

The relevant authority may request further information. Regulated applications require their own schedule and should not inherit a general incorporation estimate.

After approvals

Operational readiness

Bank onboarding, employment and asset transactions remain separate tasks. Complete the controls and records needed for the entity’s intended use.

Looking ahead

After incorporation

Assign responsibility for company records, recurring services and changes when the formation documents are handed over.

Company information updates

Maintain accurate records of the name, address, officers, share capital, shareholders and beneficial owners. Use the applicable notification process when those details change.

Financial and regulatory records

Keep financial evidence and determine the accounts, reporting and audit requirements of the selected form. Regulated firms must maintain their ongoing authorisation conditions.

Provider and renewal review

Track commercial licence and service-provider commitments where relevant. Reassess the structure before introducing a new activity or materially changing the company’s purpose.

ADGM questions

Need to discuss your own circumstances?

Can a non-financial consultancy register in ADGM?

ADGM accepts non-financial and retail applications as well as financial firms. The proposed work must match permitted activities and the chosen legal form, with suitable premises and supporting documents.

Is a commercial licence sufficient for financial services?

No. ADGM directs financial-service applicants to the FSRA authorisation process before company registration with the Registration Authority. The exact permissions depend on the activities proposed.

Can I use an SPV for a normal operating business?

An SPV is a specialist structuring route, not an interchangeable substitute for an operating company. Assess its purpose and conditions before assuming it can employ a team and carry on the proposed services.

When is a Company Service Provider required?

ADGM’s framework requires a licensed provider for non-exempt SPVs and foundations. The exemption position and the provider’s continuing role should be established as part of choosing that structure.

What if the company already has a foreign parent?

Prepare the appropriate corporate-owner or branch file, with parent registration records, authority to establish the entity and evidence of ownership. Compare the two routes according to the intended relationship with the parent.

What changes need attention after incorporation?

Changes to company information, officers, capital or beneficial ownership can require notification. Maintain a governance calendar and review the current requirements for the legal form rather than waiting for renewal.
