Quick answers before you start

What does a RAK ICC continuation assessment need?

Assess whether the existing company can leave its current jurisdiction and continue into RAK ICC, including its standing and unresolved obligations. Both jurisdictions and the company's actual circumstances matter to the feasibility review.

How does continuation differ from forming a new RAK ICC company?

Continuation concerns preserving the existing company's legal identity while changing its registration jurisdiction. New incorporation creates another entity, so assets, contracts and other arrangements may need separate transfer work.

Assess continuation before starting a new incorporation

Re-domiciliation, also called continuation, changes the jurisdiction under whose laws an existing company is registered while preserving its legal identity. It is different from opening a UAE subsidiary and different from transferring assets into a newly incorporated company. The original jurisdiction must permit the proposed departure, and the company must meet the receiving registry’s eligibility requirements. Source: RAK ICC: transfer of domicile.

A useful assessment looks beyond the incorporation certificate. Review contracts, financing, assets, ownership and tax residence with the relevant advisers before deciding to move. Any coordination engagement should allocate work between the company, its home-jurisdiction advisers and the appointed RAK ICC registered agent. Confirm the provider and its authority before requesting filings.

RAK ICC continuation eligibility and business continuity

Check eligibility in both jurisdictions before planning continuation into RAK ICC.

01

Check continuation eligibility in both jurisdictions

Confirm that the current law permits outward continuation and that the company qualifies for continuation into RAK ICC. Existing insolvency proceedings or other restrictions can affect eligibility. Obtain advice about unresolved corporate matters before paying for a destination application that cannot lawfully complete.

02

Review contracts, assets and required consents

Prepare a schedule of material contracts, security interests, licences and assets. Continuation preserves the company’s identity, but a contract or regulated relationship may still require notification, consent or review. Identify these requirements before announcing a move to customers or financing partners.

03

Plan governance and tax reviews for the move

Review how the constitution, management arrangements and record keeping will operate after the move. Registration in a new jurisdiction should not be treated as proof that every tax obligation in the former jurisdiction ends. Agree the necessary professional reviews and the records needed to support them.

Prepare with a clear checklist

Documents to prepare for RAK ICC Re-domiciliation

Use the relevant group for your ownership and application route. Preparation records and documents requiring authority confirmation are identified below.

3 preparation items

Existing company evidence

Prepare certified incorporation evidence, the current memorandum and articles or equivalent constitution, and recorded amendments. Confirm the certification standard acceptable to the receiving registry.
Obtain the home-jurisdiction documents or professional confirmations needed to establish that the company may continue elsewhere and meets the receiving conditions.
Prepare current registers, identification and address records for the relevant individuals, plus a clear corporate ownership chain where another entity participates.
3 preparation items

Continuation and transaction planning

Document the resolutions and signatory powers authorising the move. Check both the existing constitution and home-jurisdiction requirements before arranging signatures.
Prepare the RAK ICC-compliant constitutional documents, proposed name and application through the appointed registered agent. Resolve inconsistencies before submission.
Compile the information needed for legal, financing and tax review. Supporting consents or notifications are conditional on the company’s actual contracts and obligations.

The receiving authority and appointed professional confirm the final file for your particular application.

Have a question about one of these records?

The work, step by step

Your RAK ICC Re-domiciliation process

Agree the scope and responsibilities first, then track each submission and its supporting records.

  1. 01

    Assess the purpose and eligibility

Review why the move is proposed, the company’s legal status and whether outward continuation is available. Compare continuation with a subsidiary or other structure if it does not fit.

  2. 02

    Appoint the professional workstreams

Identify the home-jurisdiction adviser and RAK ICC registered agent. Agree responsibilities for certification, company approvals and the evidence of departure and continuation.

  3. 03

Review the name and prepare the file

Coordinate the destination name check, constitutional documents, company history and owner due diligence. Address gaps before the registry review begins.

  4. 04

    Obtain approvals and submit

Arrange the required company decisions and conditional consents. The registered agent submits the continuation application and manages requests for clarification.

  5. 05

    Complete the registry milestones

Track acceptance, payment and issue of the continuation evidence alongside the original jurisdiction’s departure requirements. Avoid treating one preliminary approval as completion of both processes.

  6. 06

    Update the operating records

Provide appropriate notifications to banks and counterparties, update company stationery and administrative records, and retain evidence connecting the company’s old and new registration histories.

Plan your budget

Fees and the complete service budget

Build the proposal around departure and receiving-registry work, professional advice and post-continuation updates. Distinguish initial and recurring charges, professional coordination and any conditional third-party work.

Cost components and what each covers
Cost componentWhat to account for
Destination registration and agent servicesSeparate registry charges from the registered agent’s application, due-diligence and ongoing administration fees.
Home-jurisdiction workBudget for local legal advice, corporate certificates, departure filings and any outstanding company administration necessary to complete the move.
Certification and translationsIdentify which records require certification, legalisation or translation and who will arrange them. Requirements can vary with the originating jurisdiction and document type.
Contracts and specialist adviceInclude conditional lender consents, asset reviews and tax advice where relevant. These should be scoped before a fixed overall project price is assumed.
Ongoing obligationsCompare the post-continuation administration budget with any continuing reporting or tax work in other jurisdictions. A registration move does not make those costs automatically disappear.

Know what happens when

Planning, registry steps and administration

Continuation depends on both the departure and receiving jurisdictions. Prepare the eligibility, consents and company records before scheduling post-move notifications.

Before submission

Eligibility and file preparation

The originating jurisdiction’s rules, company history and availability of certified records determine how quickly an application can be assembled.

Official review

Registry and departure coordination

RAK ICC and the former jurisdiction have distinct requirements. Any clarification, outstanding approval or conditional consent can affect the sequence.

After continuation

Relationship updates

Bank reviews and counterparty updates follow their own procedures. Plan practical business continuity around those dependencies rather than the certificate date alone.

Looking ahead

What happens after completion

A clear handover makes the next renewal, transaction or change easier to manage.

Preserve the company history

Keep pre- and post-continuation certificates, constitutional records and approvals together. This helps explain the uninterrupted entity history to banks, auditors and counterparties.

Review administration and reporting

Set responsibilities for current registers, accounting records, renewals and relevant reporting. Make sure the receiving agent has the complete ongoing company file.

Close the transition tasks

Track outstanding notices, account updates and any final former-jurisdiction filings. Record completion so the move does not leave an unresolved administrative trail.

RAK ICC Re-domiciliation questions

Need to discuss your own circumstances?

Is continuation the same as a new RAK ICC incorporation?

No. Continuation concerns an existing company changing its registration jurisdiction while maintaining its legal identity. A new RAK ICC incorporation creates a different legal entity and may require separate asset or contract transfers.

Can every overseas company move to RAK ICC?

Eligibility depends on both jurisdictions and the company’s current circumstances. A preliminary review should establish whether departure is permitted and whether any restrictions or unresolved proceedings prevent continuation.

Will the company’s debts disappear after moving?

No. Treat the company’s existing obligations as part of the review. Continuation is not a process for erasing liabilities or bypassing creditor rights.

Will the current bank account stay open automatically?

Banking continuity is subject to the bank’s own review and account conditions. Notify the bank appropriately and establish the records it will require to assess the change.

Do all assets need to be sold to a new company?

Continuation differs from selling assets to a newly incorporated entity. Nevertheless, title registers, regulated permissions and contractual arrangements should be checked individually for required updates or consents.

What should I provide for an initial assessment?

Share the company’s jurisdiction, registration and constitutional documents, ownership outline and reason for moving. A summary of material assets, financing and contracts helps identify the professional reviews needed.
