Quick answers before you start

What should an Innovation City business explain before applying?

Explain the product, customers, revenue model and proposed commercial activities. Use that brief to assess the Ras Al Khaimah company route and identify whether any part of the business needs separate regulatory consideration.

Does an Innovation City commercial licence cover financial permissions?

No. Commercial company registration does not itself authorise regulated financial activity. Describe any financial functions explicitly so that the relevant regulator's requirements can be assessed separately from formation.

Explain the technology before choosing the activity

Innovation City presents a technology-focused business environment covering fields such as artificial intelligence, gaming, robotics and digital infrastructure. Those broad sectors contain very different businesses. Developing software for a financial institution, operating a marketplace and holding customer assets do not raise the same licensing questions. Describe the proposed business before deciding on an activity or package. The strongest preparation explains what the company develops, who uses it, how revenue is earned and who controls the product. Agree the available application-preparation support in writing. Specialist authorisation questions require the relevant regulator’s process and appropriately qualified advisers.

Innovation City technology scope, business plan and entity

Explain the technology business and separate commercial registration from regulated financial work.

01

Separate technology development from regulated services

Innovation City expressly distinguishes its commercial licence from permission to perform regulated financial activities. Review features such as custody, payments, investment services or virtual-asset functions against the relevant regulatory requirements. A technology description or product label cannot substitute for any approval the actual service needs. Where a proposed activity involves regulated financial services, compare the separate regulatory questions described for DIFC and ADGM with qualified advisers; this does not establish eligibility in either centre.

02

Explain the product and commercial model

The application process includes an assessment of the business and activity. Prepare a concise account of the product, development stage, customer types, revenue and operating locations. Explain which functions are performed by the proposed company and which belong to customers, providers or another group entity.

03

Select the structure around control and funding

Innovation City lists companies limited by shares, companies limited by guarantee and branches. A founder-owned commercial venture and an organisation without conventional share ownership have different needs. Establish the suitable route before treating a standard package as the answer to every technology project.

Prepare with a clear checklist

Preparing an Innovation City application file

The authority’s document checklist distinguishes individual and corporate shareholders. The business model and ownership chain can lead to additional information requests.

3 preparation items

Individual owners

Prepare passport copies and proof of address. UAE residence visa and Emirates ID records apply where relevant to the individual’s status.
Describe activities, products, expected customers and the source of business revenue. Keep the application, website and commercial explanation consistent.
Provide a power of attorney where applicable and confirm its accepted format. Be ready to explain funding and supply supporting evidence if requested.
2 preparation items

Corporate shareholder or branch

Prepare incorporation and constitutional records, with the required current status or incumbency evidence. Confirm which documents need accepted certification.
Supply the authorising resolution and identify the ultimate beneficial owners. An ownership chart should connect each intermediate company with its supporting records.
1 preparation items

Application-specific information

Explain specialist technology functions and the division of responsibilities. Obtain appropriate advice and any required external approvals for regulated activities.

The authority may ask for further due-diligence material. Request its current checklist and document-recency requirements before submission.

The work, step by step

Build a coherent Innovation City application

Treat activity assessment and due diligence as part of the formation process, not as details to resolve after the licence is issued.

  1. 01

    Define the service

Describe the product, paying customer and company’s role. Identify whether any feature involves regulated transactions, client assets or financial advice.

  2. 02

    Choose the entity and ownership

Confirm founders, corporate investors, directors and signatories. Assess the appropriate company or branch form with the proposed governance in mind.

  3. 03

    Develop the application plan

Prepare the business explanation, select relevant activities and review workspace and visa needs. Confirm any separate authorisation workstream.

  4. 04

    Compile the supporting records

Use the current individual or corporate checklist. Reconcile names, addresses, ownership percentages and signing powers across the entire file.

  5. 05

    Complete review and registration

Submit through the accepted channel, respond to compliance questions and complete the required execution and payment. Check the scope of the issued licence.

  6. 06

    Prepare commercial operations

Organise records, banking and applicable immigration steps. Confirm product contracts, data responsibilities and intellectual-property arrangements before customer launch.

Plan your budget

Budget for incorporation and the operating model

A technology company’s practical budget extends beyond its commercial licence. Compare the package with the product, staffing and continuing compliance requirements.

Cost components and what each covers
Cost componentWhat to account for
Company and activity chargesConfirm formation, licence term and selected activities. Identify any additional charges associated with the legal form or amendments during development.
Desk or office arrangementCheck the included workspace, actual access and any upgrade costs. A registered address should not be confused with dedicated working capacity.
Immigration servicesSeparate visa capacity from immigration establishment charges and each individual application. Review the inclusion of medical, identity and status-related steps.
Ownership documentationCorporate investors and overseas parent companies can require certified records and translations. Budget for these according to the confirmed checklist.
Specialist operating requirementsAllow for relevant regulatory, tax, legal, security and financial-record support. These depend on the product and are not automatically included in incorporation.

Request current package and renewal terms; a commercial licence does not include a guarantee of banking or regulatory approval.

Know what happens when

Preparation, approvals and handover

Preparation quality matters as much as the submission channel. Activity clarification, ownership checks and external authorisation can determine the overall sequence.

Before application

Activity and file preparation

Resolve the business scope and legal structure. Corporate ownership and specialist product features can require additional explanation or evidence.

Authority review

Compliance and registration

Allow time for due diligence, document verification and responses. Registration follows the required approvals, execution and payment.

Separate workstreams

Launch readiness

Bank onboarding, individual immigration and any regulated approval have their own decisions. Do not tie a customer launch to licence issue alone.

Looking ahead

Maintain a company that matches the product

Technology businesses change quickly. Keep the registered business and supporting records aligned as the product, investors and team develop.

Renewal and company records

The authority’s checklist includes renewal information such as annual returns, client confirmations and current KYC records. Assign ownership of the filing calendar and portal access.

Product or ownership changes

Assess new activities, investment rounds and control changes before updating commercial materials. Submit the appropriate amendments and supporting business information where required.

Financial administration

Keep reliable accounting records and arrange a corporate-tax assessment. Qualifying free-zone treatment depends on conditions; a technology focus does not establish tax status.

Innovation City questions

Need to discuss your own circumstances?

Where is Innovation City located?

Innovation City is a free zone in Ras Al Khaimah. Use that jurisdiction when planning the company’s registered presence, rather than assuming that a UAE technology company is necessarily registered in Dubai.

Does its licence authorise regulated financial activity?

No. Innovation City’s official website makes the regulatory boundary explicit. A relevant financial regulator’s approval must be considered where the proposed activity falls within its remit, independently of the commercial licence.

Is a business plan relevant for a small software company?

Yes. The published checklist includes a business plan. It should explain the real activity and commercial model clearly; size alone does not remove the need to describe what the company will do.

Can a corporate investor be a shareholder?

The authority publishes a corporate-shareholder checklist. Prepare the corporate status, constitutional, approval and beneficial-ownership records, and confirm the suitable structure before finalising the investment arrangements.

What if the product changes after incorporation?

Check whether the new functionality fits the approved activity. The authority lists amendment requirements, including business information for activity changes. Regulated features should be reviewed before they are offered to customers.

Will company formation secure a bank account?

A company registration supports an application but does not determine a bank’s decision. Be ready to prepare a clear banking profile of the technology, customers, funding and ownership in language the bank can verify.
