Quick answers before you start

What should I check before changing a RAK ICC agent?

Review the existing company's authority to approve the change, corporate records and open matters. Agree the incoming agent's role and required handover evidence before treating the transfer as complete.

Does an agent change create a replacement company?

No. An agent change concerns the existing RAK ICC entity. Creating a new company or continuing into another jurisdiction would be a different project with its own approvals and implications.

A registered-agent handover with clear responsibilities

The change takes effect when registered by the Registrar; an engagement letter alone does not complete the transfer.

Prepare a handover for an existing RAK ICC company

Changing an agent is an administrative change within RAK ICC. It does not create a new company or automatically change its owners. Continuation into RAK ICC is a different process for an eligible company registered elsewhere. Start an agent change by reviewing the current company file: who can authorise the change, which records the outgoing agent holds and what work remains outstanding. Source: RAK ICC: Business Companies Regulations 2018, regulation 95.

A preparation engagement can cover the record review and handover coordination needed by the appointed registered agent. The scope should identify the incoming provider, its responsibilities and its fees before the company signs an instruction. Verify the actual appointed firm in the RAK ICC agent directory; a website enquiry alone does not appoint an agent.

Authorising and completing a RAK ICC agent change

Review authority, records and open matters before transferring the registered-agent appointment.

01

Confirm authority to change the registered agent

Check the company’s constitution and decision-making arrangements before preparing a resolution. The formal approval must come from the people entitled to give it. Separate a change of agent from any proposed director, ownership or name changes so each decision and filing has a clear purpose.

02

Inventory company records and open matters

List the company documents held by the current agent, outstanding renewals, unanswered registry correspondence and any ongoing transaction. A handover is easier when both sides can work from an agreed inventory. Include original documents, certified copies and information about how previously issued records can be obtained.

03

Agree service responsibilities after transfer

Compare the continuing service rather than only the transfer fee. Ask how renewal reminders, registry submissions, certified documents and changes to company particulars will be managed. Identify the client contact who can approve work and the escalation route for urgent correspondence. For the underlying company framework, review RAK ICC continuing administration.

Prepare with a clear checklist

Documents to prepare for RAK ICC Change of Agent

Use the relevant group for your ownership and application route. Preparation records and documents requiring authority confirmation are identified below.

3 preparation items

Company and ownership file

Prepare the registration certificate, memorandum and articles and any recorded amendments so the proposed agent can identify the entity and its decision-making rules.
Provide current owner, beneficial-owner and director information with the identification and address evidence requested for onboarding. Explain any changes not reflected in older records.
Gather the current engagement terms, recent invoices, renewal evidence and open correspondence. These help establish which matters need resolution during the handover.
3 preparation items

Approval and transfer file

Arrange the appropriately approved company resolution and certification required by the regulations. Match the company name and number to its official records.
Prepare the prescribed notice identifying the new registered agent and its signed consent to act. The appointed agent should confirm the current form and filing channel.
Record the documents and information expected from the outgoing agent, including originals, registers and unresolved instructions. Use the inventory to confirm delivery after registration.

The receiving authority and appointed professional confirm the final file for your particular application.

The work, step by step

Your RAK ICC Change of Agent process

Agree the scope and responsibilities first, then track each submission and its supporting records.

  1. 01

    Review the current company position

Confirm registration details, the latest renewal and any open filing matters. Identify the person authorised to instruct the transfer and supply documents.

  2. 02

    Confirm the incoming appointment

Check the proposed agent’s registry status, onboarding requirements and written service terms. Agree which work is included in the transfer and ongoing annual service.

  3. 03

    Prepare the company approval

Review the constitution and arrange the appropriate resolution. Keep proposed changes to owners or directors separately identified in the instructions.

  4. 04

    Complete and file the notice

The registered-agent change follows the notice procedure in the regulations, including incoming-agent consent. Where the ordinary filing route stalls, use the regulatory procedure rather than assuming the transfer has occurred.

  5. 05

    Confirm the registered change

Obtain evidence that the Registrar has recorded the change. Use that effective date to update the company’s administrative contact records and renewal arrangements.

  6. 06

    Reconcile the handover

Check received files against the inventory, resolve missing items and confirm future deadlines. Retain the final appointment terms and correspondence with the company records.

Plan your budget

Fees and the complete service budget

Build the proposal around the transfer filing, outgoing matters and ongoing registered-agent services. Distinguish initial and recurring charges, professional coordination and any conditional third-party work.

Cost components and what each covers
Cost componentWhat to account for
Registry filing chargesIdentify any authority fee for the change and the evidence of registration included in the service. Separate additional certificates or certified extracts if requested.
Incoming-agent onboardingConfirm the review and due-diligence work covered by the new appointment, including additional complexity arising from a corporate ownership chain.
Outgoing service accountReconcile outstanding invoices and any properly applicable record-transfer charge. Ask for a clear breakdown rather than treating a disputed balance as an unexplained transfer cost.
Document recovery and certificationAllow for replacement records, certified copies or foreign corporate documents if the existing file is incomplete or outdated.
Ongoing annual serviceCompare renewal administration, registered-office arrangements and routine correspondence. Identify separately priced amendments and transaction support.

Know what happens when

Planning, registry steps and administration

Review the incoming appointment and company file before the registry notice. Confirm registration of the change, then reconcile the records and ongoing responsibilities.

Before the notice

File review and acceptance

The incoming provider needs an adequate company and ownership file before accepting the appointment. Missing records can extend this stage.

Registry procedure

Registration of change

The regulations govern filing, notices and effectiveness. Procedural notice periods are not a promise of the total time required for your transfer.

Following registration

Records handover

Allow time to reconcile the delivered company file and resolve open correspondence. Keep a named person responsible for any outstanding documents.

Looking ahead

What happens after completion

A clear handover makes the next renewal, transaction or change easier to manage.

Confirm the renewal owner

Record the next renewal and who will initiate it. Make sure important messages reach a monitored address rather than a former employee’s inbox.

Keep the corporate file usable

Maintain an indexed copy of the received records, identify missing originals and record where they are held. Avoid losing the audit trail when providers change.

Review connected relationships

Consider whether banks, accountants or counterparties need updated contact details. The agent change itself does not replace their separate account-maintenance procedures.

RAK ICC Change of Agent questions

Need to discuss your own circumstances?

Does changing an agent create a new company?

No. This service changes the registered agent of the existing RAK ICC company. Incorporating a replacement entity or moving to another jurisdiction would be a different project.

Who approves the transfer?

The company must use the decision-making route permitted by its constitution and the applicable regulations. The preparation stage should establish the proper approving body before a resolution is signed.

When does the change take effect?

It takes effect when the Registrar registers the change. Signing a new engagement letter or sending an instruction to the outgoing agent is not, by itself, evidence that registration has occurred.

What if the current agent does not submit the notice?

The regulations provide an alternative procedure involving the incoming agent and notice to the existing agent. Have the appointed professional follow that process and retain the supporting instructions.

Can owners or directors change at the same time?

Those changes should be reviewed and documented separately. Combining administrative work may be practical, but an agent-change notice should not be treated as approval for unrelated company amendments.

What should I request at the end?

Ask for confirmation of registration, a reconciled record inventory, the current engagement terms and a renewal schedule. These make it clear what has completed and who is responsible for the next company obligation.
