Quick answers before you start

When should I assess a UAE offshore structure?

Assess an offshore structure when the proposed purpose involves holding assets or an international arrangement. Review the registry framework against the actual assets, owners and transactions, and separately establish any operating permissions the business requires.

What makes an offshore comparison useful?

Compare the company purpose, registered-agent work, asset-registration requirements and banking evidence. Include continuing administration and any transfer work; the ability to register an entity does not settle how a particular asset or account will be accepted.

An operating brief

Map intended assets, current owners, counterparties and funding so the purpose can be assessed before choosing a registry.

A route comparison

Compare registration routes, registered-agent arrangements and banking evidence against the proposed ownership structure.

A next-step checklist

Identify corporate or individual records, professional advice and later asset-transfer steps that sit outside incorporation.

Firswood provides this service directly. Confirm the registered-agent appointment and any professional authorisation required for the agreed work. Registry decisions, legal and tax advice, asset transfers and banking each follow their applicable requirements.

Offshore / The essentials

Choose a structure around assets and transactions

An offshore structure begins with its purpose: holding investments, organising ownership or supporting permitted international business. Establish which assets the company will own, where decisions will be made and how transactions will move through it.

Compare RAK ICC, JAFZA Offshore and the Ajman offshore enquiry route against the same ownership and asset brief. Existing companies can also explore RAK ICC continuation or a registered-agent change, while a foundation involves a distinct governance structure. Use the individual guides to separate new registration, administration and asset-planning projects.

Comparing offshore purposes and responsibilities

Compare the structure through the assets, transactions and ongoing administration it must support.

01

Review the assets a holding company will own

Map each intended shareholding, property or other asset and its current owner. Distinguish new acquisitions from transfers into the company: a transfer can require separate consents, registration work or lender review. Consider how future investors, asset sales and changes in ownership would be handled before deciding on the structure.

02

Define the international structure and transactions

Describe the countries, counterparties and expected transactions involved. Identify the commercial reason for the company and the people who direct it. The registry, registered agent, bank and relevant asset authorities may each need different evidence. Incorporation does not resolve tax residence, operating permissions or requirements in another country.

03

Plan banking and continuing administration

Prepare a banking profile alongside the incorporation brief, including funding sources and the purpose of anticipated payments. RAK ICC explicitly treats bank opening as separate from registration. Ongoing administration also matters: current ownership records, renewal arrangements, company decisions and financial records should be organised from the start. Prepare with a clear checklist

Documents for offshore structure planning

This is a comparison checklist. RAK ICC and Jafza have different requirements, especially for corporate documents and their certification.

3 preparation items

Individual owners and officers

Prepare passports and consistent personal details for shareholders, directors and other appointed officers. The selected registry and agent will confirm the participants they must verify.
Have current residential information and a concise professional or business background available. Proof of address and additional due-diligence records depend on the route and agent’s review.
Explain the intended assets, transactions and source of funds. Supporting evidence should make the commercial purpose understandable rather than relying on the word holding alone.
3 preparation items

Corporate owners

Prepare registration and constitutional records plus evidence of current status and control where requested. Trace the ownership chain through intermediate entities to the ultimate individuals.
Document the decision to establish and fund the offshore company, its ownership and the people authorised to sign. The resolution must fit the parent’s own governance requirements.
Check the selected registry before arranging notarisation or legalisation. RAK ICC and Jafza publish different approaches, so a checklist from one should not be applied to the other.
1 preparation items

Assets and proposed transactions

For planning, gather title or investment details, draft transaction information and any lender or co-owner conditions. These support the structure review and are not all universal incorporation documents.

Keep registry documents, banking evidence and asset-transfer paperwork clearly identified because they serve different processes.

Have a question about one of these records?

The work, step by step

From offshore brief to a maintained company

A useful process resolves the structure and its practical use before registration is submitted.

  1. 01

    Map the intended purpose

List assets, activities, countries, owners and decision-makers. Identify any planned transfer of existing property, shares or intellectual property into the new company.

  2. 02

    Compare registry and company form

Assess RAK ICC and Jafza against the brief, including eligible structures, permissions, document requirements and recurring administration. Consider whether an operating free zone or mainland entity is more suitable.

  3. 03

    Agree the registered-agent scope

Confirm the relevant registered-agent route and who handles the submission and ongoing services. Obtain a clear schedule of registry, agent and optional professional charges.

  4. 04

Prepare the ownership and application file

Complete personal identification, corporate records and authorisations as applicable. Resolve document certification and beneficial-ownership questions before formal submission.

  5. 05

    Complete incorporation

Follow the registry’s review and signing requirements through the appointed channel. Check the issued certificate, constitutional records and registers against the agreed structure.

  6. 06

    Implement the intended use

Proceed with separate bank onboarding, asset acquisitions or transfers and any required operating permissions. Establish the company’s renewal, accounting and decision-record routine.

Plan your budget

Fees and the complete setup budget

Compare the full structure rather than the incorporation charge alone. Ownership complexity, asset transactions and the selected registry can change the work required.

Cost components and what each covers
Cost componentWhat to account for
Registry and incorporationIdentify the company-form, registration and document charges. Confirm which issued records and name-related services are included in the quote.
Registered-agent servicesSeparate initial submission from ongoing registered-agent and address services. Confirm the renewal period, communication arrangements and charges for additional registry requests.
Corporate records and certificationBudget for current company extracts, resolutions, translations and any certification the selected route requires. Complex ownership can add document preparation work.
Banking and asset implementationBank assistance, asset transfers, valuations, property registration or transaction advice may be separate. Incorporation does not include these services automatically.
Continuing administrationPlan renewal, financial records, applicable reporting and company amendments. Include the cost of closing or restructuring the company when it no longer serves its purpose.

Know what happens when

Planning, registry steps and administration

Offshore setup has several separate milestones. The registry’s processing indication should start from a complete eligible file and should not be used as an asset-transfer or banking deadline.

Before submission

Structure assessment

Agree the commercial purpose and check asset eligibility, operating permissions and ownership before preparing the company documents.

Preparation stage

Due diligence and paperwork

Corporate records, certification and explanations of ownership or funding can extend preparation beyond a simple individual-owner application.

Authority processing

Registry review

The registered agent submits the application and coordinates questions. Timing depends on the chosen registry and completeness of the file.

After incorporation where required

Banking and asset transactions

Each bank, asset registry and counterparty controls its own process. Avoid scheduling completion of a transaction solely around the incorporation estimate.

Looking ahead

Ongoing offshore company administration

A holding or international company still needs an organised record of what it owns, decides and does.

Maintain the company file

Keep registers, constitutional documents and current identification with the responsible administrator. Record changes to owners, officers and controlling individuals through the applicable process.

Track assets and transactions

Retain evidence of investments, transfers, income, expenses and company decisions. Review accounting, audit and tax obligations for the structure and relevant jurisdictions.

Renew or close deliberately

Arrange registry and agent renewals on time. If the company is no longer needed, settle assets and liabilities and follow the appropriate closure route rather than simply abandoning renewal.

Questions about Offshore overview

Need to discuss your own circumstances?

How is an offshore company different from a free zone operating company?

They are distinct structures with different registration and operating frameworks. Start with whether the company will hold assets or carry out an active local operation, then assess premises, staffing and permissions against the proposed use.

Which route is better for holding assets?

The answer depends on the assets, owners, counterparties and future transactions. Compare the relevant registry framework with any asset-registration and lender requirements. Property holding, securities and intellectual property can raise different practical questions.

Can a corporate entity be a shareholder?

Corporate ownership is available under the relevant routes, subject to their requirements. Expect company records, authorisation and ownership-chain evidence in addition to the identification needed for the people involved.

Do foreign documents always need embassy legalisation?

No single rule covers these routes. RAK ICC’s current FAQ says foreign corporate documents do not require legalisation, while Jafza’s published non-individual checklist specifies notarised and attested records. Confirm the file before commissioning paperwork.

Does offshore incorporation provide a bank account?

No. The bank assesses its own application, including ownership, purpose, funding and transactions. Plan the banking work alongside the structure decision without treating approval as part of the registry’s incorporation decision.

Does offshore mean no accounting or tax obligations?

No. Determine the accounting, reporting and tax position for the actual structure and activity. Jafza’s regulations expressly address accounting and audit, and an offshore label should not be treated as a universal exemption.
