Quick answers before you start

When should I assess a Jafza operating company?

Assess the operating-company route when the business needs licensed goods or services activity together with premises and people. Select the entity form and facility together, with technical and safety requirements reviewed where relevant.

What should I check before committing to a Jafza facility?

Describe the actual goods, processes, equipment and intended use. Confirm that the facility, licence scope and relevant approvals fit that operation, and keep incorporation costs separate from site readiness and continuing premises commitments.

Plan an active business in Jafza Free Zone

Jafza offers operating company structures within the Jebel Ali free zone. The decision should begin with the intended business and shareholders, followed by licence scope and facility selection. Goods handling, processing and office services each bring different requirements into the project. Source: Jafza: company formation structures.

An operating FZE or FZCO should not be confused with a Jafza offshore company. The latter follows a separate route and purpose. For an active free zone business, the application and premises plan need to show what the company will do, who controls it and how its proposed operation will be accommodated.

Jafza entity, operating scope and facility approvals

Connect the ownership form, project file and site requirements before formation.

01

Match the company form to ownership

Jafza’s company-formation guidance distinguishes a Free Zone Establishment and a Free Zone Company, with individual and non-individual ownership checklists. Compare a new entity with a parent-company branch where relevant. Record the proposed directors, manager and secretary before preparing appointments and specimen signatures.

02

Turn the business plan into an activity selection

Select the relevant Jafza activities and explain the products, services and processes. Confirm the project-summary and business-plan requirements for the chosen facility and application.

03

Treat environmental and safety review as part of setup

Jafza requires an EHS declaration for specified facilities, including warehouses, light industrial units, showrooms, plots, retail units and subleased premises. Confirm the requirements for the intended facility and use. When comparing alternative logistics locations, assess Dubai South’s facility requirements against the same operating needs.

Prepare with a clear checklist

Documents for Jafza company formation

Prepare the file for the chosen legal form. Personal records, corporate-owner evidence and activity-specific approvals serve different purposes.

2 preparation items

Individuals and appointed officers

Prepare clear valid passports and applicable residence records for the relevant shareholders, directors, secretary and proposed manager. Confirm current validity requirements and any required written statement about UAE residence.
Prepare the requested shareholder profile and specimen signatures for appointed officers and authorised representatives. Follow Jafza’s accepted witnessing or attestation process rather than signing unsupported copies.
3 preparation items

Corporate shareholders or parent company

Provide the corporate owner’s incorporation or good-standing evidence as required, with its constitutional documents and relevant partner or director information. UAE and overseas records can follow different certification paths.
The resolution should authorise formation and identify the agreed capital, officers and any legal representative. Use the relevant Jafza specimen and ensure the parent’s signatory has authority to approve it.
Prepare the power of attorney where a representative acts for the shareholder or parent. Confirm notarisation and attestation before the document is executed abroad.
2 preparation items

Company and project file

Prepare the application and any project summary, business plan or EHS declaration required for the selected facility. Keep the activity and intended use consistent.
Prepare the relevant FZE or FZCO constitutional documents and facility arrangement. Additional technical or activity approvals depend on the project and should be identified in the checklist.

Use the current checklist for the selected Jafza operating-company structure and project.

The work, step by step

Your Jafza setup process

Plan the application and operating launch around the following stages.

  1. 01

    Scope the Jafza operation

Describe products, services, markets and physical processes. Identify whether the company needs an office, storage, industrial capacity or another approved facility arrangement.

  2. 02

    Select the entity and licence

Confirm the ownership form and licence category against the proposed activity. Keep the operating-company decision separate from offshore holding-company considerations.

  3. 03

    Assemble personal and corporate records

Prepare the relevant identity, company-existence and authorisation documents. Arrange corporate resolutions, translations and attestation before submission deadlines are set internally.

  4. 04

    Submit project and approval information

Submit the application and any required project or EHS information. Resolve specialist requirements for the goods, process and facility.

  5. 05

    Execute incorporation and lease documents

Complete accepted signatures, corporate documents, premises arrangements and payments. Review the issued company particulars and licence scope before circulating them to customers.

  6. 06

    Activate the operating business

Arrange relevant customs, logistics, bank and people services. Complete any technical or access clearances and establish the company’s renewal and recordkeeping calendar.

Plan your budget

Fees and operating commitments

Build the proposal around the company form, licence, premises and environmental or safety work. Distinguish initial and recurring charges, professional coordination and any conditional third-party work.

Cost components and what each covers
Cost componentWhat to account for
Entity registration and licenceAsk for an itemised authority quote for the chosen form and activity. Separate initial company registration from the recurring operating licence and later amendment services.
Facility lease and servicesCompare the total property commitment, including deposits, utilities and fit-out obligations. Capacity, access and permitted use may matter more than the headline annual rent.
Document legalisationCorporate and overseas-owner files can require certification, translation and delivery. Identify those requirements before commissioning documents to avoid preparing the wrong format.
Technical and trade servicesBudget for project-related approvals, facility completion and applicable trade or cargo arrangements. These depend on the proposed operation rather than the number of shareholders alone.
Ongoing administration and staffingPlan the cost of eligible immigration services, company records, financial reporting and renewal. Add expansion and activity-amendment costs when evaluating the longer-term plan.

Any authority promotion or package is subject to its current eligibility, inclusions and renewal terms.

Know what happens when

Preparation, approvals and handover

Jafza company approval and facility readiness are connected milestones. Conditional EHS review, corporate documents and the premises agreement can each affect the schedule.

Before application

Project and premises assessment

Confirm the activity and facility fit, especially where EHS or specialist review could affect the choice of site.

Preparation and review

Ownership verification

Corporate records, attestation and officer appointments can determine when a complete application is available for assessment.

Authority completion

Registration and facility commitments

Accepted documents, payments and lease arrangements must be coordinated. The company and property milestones may progress at different speeds.

After relevant approvals

Operational activation

Banking, staff services, goods movement and technical readiness can continue after incorporation. Plan customer delivery dates around all required milestones.

Looking ahead

After incorporation

Assign responsibility for company records, recurring services and changes when the formation documents are handed over.

Control changes to the licence

Review new products, services and processes against the approved activities. Complete the relevant amendment before operating outside the authorised scope.

Preserve corporate and officer records

Maintain the company constitution, resolutions, ownership evidence and current appointments. Keep the registered information consistent with bank and counterparties’ verification files.

Coordinate site, safety and renewals

Track facility commitments and applicable technical requirements together with licence renewal. Review premises suitability before expanding storage or introducing additional equipment.

Jafza questions

Need to discuss your own circumstances?

Is a Jafza operating company the same as a Jafza offshore company?

No. The operating free zone company route and offshore registration serve different purposes. A business needing premises, staff and active licensed operations should assess the operating-company route.

Can another company own the Jafza entity?

Jafza provides non-individual shareholder checklists. Corporate owners add incorporation or standing evidence, constitutional records and an appropriately authorised formation resolution.

When is an EHS declaration required?

Jafza specifies it for particular facility categories. Confirm applicability to the chosen premises and operation before completing the file.

Do I need to prepare officer details at the start?

Yes, the registration file identifies roles such as directors, manager and secretary. Resolving appointments early avoids inconsistent resolutions and specimen signatures later.

Can I use a generic trading description?

The business must select permitted activities from the authority’s list. Explain the actual products and trading model so the activity and premises can be assessed accurately.

Does receiving the licence mean shipments can begin immediately?

Not necessarily. Relevant customs, product, logistics, access and facility arrangements may still need completion. Build an operational checklist in addition to the incorporation checklist.
