Quick answers before you start

What should I establish before arranging a local sponsor?

Confirm whether the actual activity and legal form require a local shareholder, service agent or another arrangement. Review the competent authority's position and any existing agreements before selecting a role or changing the structure.

How should I compare an agent role with a shareholder role?

Use the formal documents to establish what each person owns, approves or is appointed to do. A service-agent relationship and share ownership are distinct, so do not rely on the word sponsor to define the arrangement.

Check the requirement before agreeing a local arrangement

We help clarify local sponsorship enquiries, a term used for several different relationships in the UAE. It can refer to a shareholder, a service agent or an immigration sponsor, even though those roles have different functions. A useful review begins by defining which relationship is being discussed and whether it is required for the proposed activity and legal form.

The Ministry of Economy and Tourism confirms that foreign ownership depends on the applicable framework, competent-authority requirements and strategic-impact activities. Its guidance also states that foreign company branches do not require a UAE national agent. Review the exact activity and legal form within the proposed mainland setup instead of assuming a local arrangement is always needed.

Ownership, agency and existing-contract questions

Establish which relationship is required and which existing rights need review.

01

Confirm ownership conditions for the activity

Confirm the exact licensed activities, emirate and proposed legal form with the competent authority. These details determine the ownership conditions relevant to the application. A description such as trading or consulting is often too broad to resolve the question without the authority’s actual activity classification. 02

Distinguish shareholders, agents and visa sponsors

A shareholder has an ownership role, while a service-agent arrangement and an immigration sponsorship serve different purposes. A distributor or registered commercial agency can be different again. Identify the required relationship before reviewing a proposed fee or contract, so obligations are not agreed under an ambiguous label. For employee or family residence, use the visa route guide; immigration sponsorship is a separate question from company shareholding.

03

Review contracts before amending an existing structure

An established company may have contractual and registry records that need to be amended even where a different ownership route is now available. Review the memorandum, licence, agent agreement and existing commitments. Obtain appropriate legal advice on rights, consent and termination before implementing a change.

Prepare with a clear checklist

Documents for a sponsorship or ownership review

The preparation file should show both the proposed structure and any existing rights or commitments.

2 preparation items

Business details

Provide the intended activity descriptions, emirate and proposed entity type, or the current licence for an established business.
Explain the customers, premises and any regulated activities, including why a particular local relationship has been proposed.
2 preparation items

Ownership and authority

Prepare passport and identity information for individual parties, with corporate registration and ownership records where a company is involved.
Identify who may approve the structure, sign documents and submit the application. Prepare required resolutions or powers of attorney for review.
2 preparation items

Existing arrangements

Provide the current memorandum, amendments, shareholder register and relevant licence records so the registered position is clear.
Include any service-agent, sponsorship or related agreement and material notices, renewal terms or outstanding payment correspondence.

For a new arrangement, the final checklist follows the authority’s requirements. For an amendment, legal review should address the existing agreement before implementation.

The work, step by step

A clear sequence for evaluating the arrangement

Resolve the requirement and responsibilities before coordinating formal registration or changes.

  1. 01

    Define the relationship

Establish whether the enquiry concerns ownership, a service agent, immigration sponsorship or another commercial relationship. Review why it is being proposed.

  2. 02

    Confirm the authority position

Check the activity, legal form and current ownership requirements with the relevant licensing authority. Identify available alternatives that meet the operating needs.

  3. 03

    Review parties and documents

Collect identity and corporate records, establish signing authority and arrange appropriate review of proposed rights, obligations and existing contractual terms.

  4. 04

    Coordinate the formal process

Once the structure and documents are agreed, support the required approvals, signatures and licence or registry applications through the authorised channels.

  5. 05

    Update the operating records

Check the issued documents and identify related bank, tax, employment or immigration records that need updating to reflect the approved change.

Plan your budget

Separate official costs from contractual commitments

A useful quotation explains what is being paid for and which amounts recur.

Cost components and what each covers
Cost componentWhat to account for
Authority and registry chargesFormation, amendment, licence and document-issuance charges depend on the entity and the changes being requested.
Contractual feesWhere a lawful agent or other arrangement is required, its fee, renewal terms and included responsibilities should be explicit in the agreement.
Legal and document servicesProfessional document review, notarisation, attestation and translation may be required according to the parties and transaction.
Coordination and updatesDefine the support for applications and related record changes, including whether bank or immigration follow-up is part of the scope.

Do not compare arrangements solely on an annual fee. Consider the responsibilities, exit provisions and total cost of maintaining or changing the structure.

Authority review and change stages

The sequence depends on authority confirmation, documentary readiness and any existing parties’ rights.

Before selecting a party

Requirement review

Resolve whether the proposed activity requires the relationship before negotiating an unnecessary arrangement.

Dependent on review and consent

Document agreement

Corporate approvals, overseas documents and changes to existing contracts can determine the preparation period.

After agreed signatures

Formal updates

Registry and licence changes may need to precede updates to banking, tax or other operational records.

Looking ahead

Keep the arrangement transparent and current

An organised record helps the company manage responsibilities after registration.

Document control

Retain signed agreements, constitutional documents and the current register information, with authorised access for the company’s responsible officers.

Renewal and commitments

Track renewal dates, contractual notice periods and agreed tasks so payments and administrative responsibilities are visible.

Business changes

Review new activities, ownership transfers and management changes before assuming the existing arrangement remains appropriate for the amended business.

Local sponsorship and UAE ownership questions

Need to discuss your own circumstances?

Does every UAE mainland company need a local sponsor?

No. Full foreign ownership is available under the applicable framework for eligible activities and structures. Confirm the exact activity and competent authority’s requirements before choosing an arrangement.

Is a local service agent the same as a shareholder?

No. The roles differ. Review the formal documents and the authority’s requirements to establish whether ownership, an agency function or another relationship is actually involved.

Does a foreign company branch always need a national agent?

The Ministry’s investment guidance states that a UAE national agent is no longer required for foreign company branches. Confirm the branch’s activity and registration requirements for the proposed setup.

Can an existing local arrangement be removed immediately?

Not necessarily. Review the current contracts, constitutional documents and registry position first. Existing rights, consent requirements and formal amendments need to be addressed through the appropriate process.

Can an informal side agreement replace the company records?

Company ownership and authority should be reflected accurately in the formal documents. Have appropriate legal advisers review the intended arrangement and ensure the required registry information is correct.

Will changing a shareholder affect other business records?

An approved ownership change can require updates to bank, beneficial-owner, tax, employment or immigration records. Include the relevant company administration updates in the change plan, with appropriate legal advice on the existing parties’ rights.
