UAE Business Setup Costs: First-Year and Renewal Budget Guide

Compare the full cost of starting and maintaining a company. Separate authority charges, professional services, premises, individual applications and operating cash, then check what changes at renewal.

The starting answer

What belongs in a realistic setup budget?

There is no single UAE company-formation price that fits every business. A useful comparison itemises the first-year scope and the next renewal period using the same activity, owners, premises and team assumptions. Keep refundable deposits, required balances and working capital separate from non-refundable charges.

What belongs in a business setup budget?

Begin with one agreed brief: activity, authority, legal form, shareholders, premises and intended applicants. If these decisions are still open, use the company-structure guide before comparing offers. Record the start and end dates covered by each price, especially when licence and workspace periods differ.

Prepare three views: first-year charges, the next renewal period and cash retained for deposits or operations. A package total is useful only when its inclusions, exclusions and payment dates are visible. The tables below provide a comparison method; the worked amounts are deliberately hypothetical and are not market prices or a CompanyFormation.ae quotation.

First year versus renewal: compare the same scope

Ask every provider to complete both columns for the same business. Mark a line “included”, “separately charged”, “not needed” or “not yet confirmed”. Do not count the same workspace, licence or application twice because it appears in both a package description and an itemised schedule.

Separate official charges from professional support

List the purpose and recipient of each charge. An authority fee, a bank fee and a fee paid for preparing an application are different items. SEDD’s published Sharjah licence service, for example, distinguishes licensing, legal and third-party charges; its calculation should not be applied to another emirate or free zone.

The Federal Tax Authority currently lists corporate tax registration as free of charge. If a provider charges for corporate tax registration assistance, describe that amount as professional support, not an FTA registration fee. Registration support, ongoing tax compliance and tax payable also need separate lines.

Check workspace, deposits and document preparation

Ask exactly what the premises payment buys: a specific office, shared workspace rights, storage, access hours or another defined arrangement. Check the contract period, deposits, utilities, required registration and fit-out or approvals relevant to the use. Do not assume that the workspace label establishes every permission the activity needs.

For document work, start from the individual or corporate shareholder checklist. Price the records actually requested and confirm the overseas-document preparation route before ordering translation or attestation. Include courier or replacement-record costs only where the application needs them.

Unpack visa capacity and bank-account support

A package that permits a stated number of visa applications does not, by that wording alone, tell you which individual processing costs are included. Name the intended applicants and ask for the exact steps, applicant assumptions and exclusions for the visa or employment route. Record separate expiry dates instead of assuming every cost renews annually.

For business banking, compare the bank’s current account terms using expected balances, transfers, currencies and payment activity. Separate the bank’s charges from professional onboarding support. Do not treat an introduction or an application-support payment as a completed or guaranteed bank account.

Worked example: a transparent first-year and renewal budget

This is an arithmetic example, not a fee estimate, real package, client case study or offer. Every amount below is invented solely to show the comparison method. No authority, free zone, bank or professional provider is being quoted.

Assumptions: one company, one individual shareholder, an unchanged activity and workspace arrangement, no visa applications, no employees and no special approvals in this simplified exercise. Both columns cover 12 months. VAT and other taxes, insurance, salaries, travel, inventory, fit-out, finance charges and exceptional work are excluded. The zero rows represent this example’s assumptions, not a claim that a real service is free.

Build a renewal calendar, not just a renewal total

List the actual end dates for the licence, workspace, company records, individual permissions, software and professional engagements. Different services can cover different periods. Schedule a review early enough to decide whether the company’s activities, owners, team or premises will change before authorising a renewal.

For recurring finance work, use the agreed bookkeeping handover and any payroll responsibilities to define the service scope. Separate registration support from return preparation and other reporting work. Tax payable is not the adviser’s fee and should have its own calculation.

How much cash is needed beyond the charges?

Add deposits, retained balances and the money needed to operate before customer receipts arrive. Treat each as a separate funding requirement so it is visible without being mistaken for a non-refundable formation charge. Check the payment dates: an annual total does not show whether several large payments fall in the same week.

Continuing the hypothetical example, assume a refundable deposit of AED 2,000 and a working-cash reserve of AED 9,000. The illustrated funding pot becomes AED 28,300 + AED 2,000 + AED 9,000 = AED 39,300, before the excluded items. The reserve is simply an assumption for this exercise; it is not a recommended minimum for a real business.

Approve a quote only when the comparison is complete

Put competing quotes beside the same brief. Record the issue and expiry dates, currency, tax treatment, payee, included period, payment milestones, exclusions and cancellation or refund terms. Identify costs paid directly to another institution. Mark provisional items clearly and request the missing basis instead of silently treating them as zero.

Agree how extras will be approved if an owner, activity, document route or premises choice changes. At handover, reconcile the agreed scope with receipts, delivered records and outstanding tasks. Follow the registration tracker so document decisions and price changes stay connected.

  1. Fix the assumptions

Use the same activity, legal form, owners, premises, people and period for each quote.

  2. Separate charges and cash

Distinguish one-off and recurring charges from refundable deposits, retained balances and reserves.

  3. Resolve exclusions

Ask who will supply and charge for every necessary item that the package does not include.

  4. Confirm the next period

Obtain the renewal basis and actual expiry dates before approving the first-year proposal.

First-year and renewal cost questions

What is the real cost of setting up a company in the UAE?

It depends on the authority, activities, legal form, owners, premises and individual applications. Request an itemised proposal for that specific brief. Compare the first-year scope and renewal basis, then add deposits and operating cash separately. The example on this page is not a market-price estimate.

Does a licence package include every visa cost?

Not necessarily. Ask whether the offer includes only capacity to apply or specific company and individual processing steps. Name the applicants, check the exclusions and record each relevant validity period before comparing prices.

Is FTA corporate tax registration free?

The FTA service card currently lists corporate tax registration as free of charge. A provider may charge an agreed fee for helping prepare the application. That professional fee should be labelled separately from the authority’s service charge and from other tax work.

Why can renewal cost more than the first year?

A promotion or included service may end, the recurring scope may differ or the business’s requirements may change. Ask for the actual renewal basis rather than carrying forward a headline first-year price.

Are refundable deposits and bank balances setup fees?

They are different funding items. A deposit subject to refund conditions or a balance retained in an account affects available cash without necessarily being a non-refundable charge. Show them separately and confirm the accounting treatment for the actual arrangement.

Can I use the worked AED amounts as my budget?

No. The amounts are invented to demonstrate arithmetic and classification, with stated exclusions. Replace each one with a current written quotation or business-specific cash assumption before using the worksheet for a decision.
